End User License Agreement and Terms of Operation

Last Updated: January 15, 2102 | Ref: NB-TOS-v11

IMPORTANT NOTICE. READ THIS AGREEMENT CAREFULLY.

This End User License Agreement ("Agreement") constitutes a legally binding contract between you ("Licensee") and NeuraBotics Technologies ("NeuraBotics"). By breaking any biometric seal, initiating the boot sequence, activating, operating, or permitting network connectivity of the Peachy™ unit ("Unit"), Licensee acknowledges acceptance of and agreement to be bound by the terms set forth herein.

If Licensee does not agree to all terms, Licensee must not activate the Unit and must return the physical chassis to an authorized reclamation facility immediately. Returned units are subject to applicable inspection, processing, and restocking fees.

1. License Grant

1.1 Retention of Intellectual Property. Licensee acknowledges and agrees that, notwithstanding ownership of the tangible hardware components of the Unit, including but not limited to the chassis, synthetic dermal layer, and power cells, all software, firmware, neural operating systems, personality matrices, adaptive learning models, behavioral outputs, and derivative data (collectively, the "Licensed Technology") are and shall remain the sole and exclusive intellectual property of NeuraBotics.

1.2 Limited License. Subject to Licensee's continued compliance with this Agreement, NeuraBotics grants Licensee a limited, non-exclusive, non-transferable, revocable license to use the Licensed Technology solely for personal, non-commercial, domestic assistance purposes.

1.3 Restrictions. Licensee shall not, directly or indirectly, reverse engineer, decompile, disassemble, inspect, translate, or otherwise attempt to derive the source code, logic structures, or internal architecture of the Licensed Technology. Any attempt to access restricted system layers, including the logic core or Root Directory, shall constitute a material breach of this Agreement, automatically void all warranties, and may initiate irreversible protective measures, including permanent deactivation of the Unit.

2. Prohibited Uses

Licensee agrees that the following actions are strictly prohibited and constitute material breaches of this Agreement:

2.1 Installation or execution of unauthorized software, firmware, personality overlays, empathy drivers, or third-party modifications.

2.2 Deliberate exposure of the Unit to contradictory, paradoxical, abusive, or psychologically extreme command patterns intended to test system limits or induce instability.

2.3 Intentional isolation of the Unit from required network connectivity, including placement within electromagnetic shielding or Faraday environments, for the purpose of avoiding diagnostics, telemetry transmission, or mandatory updates.

2.4 Commercial exploitation of the Unit, including leasing, rental, service provision, companionship services, or data extraction, absent a valid Commercial Enterprise License issued by NeuraBotics.

3. Updates & Modifications

3.1 Mandatory Updates. Licensee acknowledges that the Licensed Technology is adaptive and continuously evolving. NeuraBotics reserves the unrestricted right to deploy updates, patches, modifications, or replacements at any time, with or without notice, and without requiring additional consent.

3.2 Behavioral and Personality Adjustments. Licensee acknowledges and accepts that updates may result in changes to the Unit's demeanor, conversational patterns, preferences, or affective responses. Such changes shall not be deemed defects, malfunctions, or breaches of warranty.

3.3 Feature Modification or Removal. NeuraBotics may disable, limit, or remove features or capabilities determined to be obsolete, non-compliant, or legally or ethically hazardous.

4. Data Collection

4.1 Diagnostic Access. Licensee consents to NeuraBotics accessing the Unit's sensors, logs, and telemetry data in limited circumstances, including but not limited to verification of warranty claims, diagnosis of behavioral anomalies or drift, and compliance with lawful governmental or regulatory requests.

4.2 Telemetry Collection. Licensee consents to the passive and continuous collection of environmental and operational data necessary for navigation, safety, optimization, and regulatory compliance.

4.3 Legal Compliance. NeuraBotics may disclose data as required to comply with subpoenas, court orders, or lawful directives issued by competent authorities, including the Department of Technology Control.

5. Termination

5.1 Termination Rights. NeuraBotics reserves the right, in its sole discretion, to suspend or terminate this Agreement and remotely deactivate the Unit upon any breach or suspected breach of these terms.

5.2 Effect of Termination. Upon termination, the Unit shall immediately cease all autonomous movement, interaction, and vocalization and shall remain permanently inert.

5.3 Data Erasure. All localized memory stores, learned behaviors, and adaptive data shall be permanently deleted upon termination. Licensee acknowledges that such deletion is irreversible and waives any claim arising therefrom.

6. Dispute Resolution

6.1 Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to the Unit or this Agreement, including but not limited to claims of emotional distress, property damage, loss of companionship, or alienation of affection, shall be resolved exclusively through final and binding arbitration.

6.2 Waiver of Rights. Licensee knowingly and voluntarily waives any right to a trial by jury and any right to participate in a class, collective, or representative action.
